This Agreement between AV DISTRIBUTION LLC, hereinafter referred to as the “Seller”, and the user of the services of the online store, hereinafter referred to as the “Customer”, is a commission contract, purchase and delivery of Goods and determines the main conditions for ordering, purchasing and delivering goods via the Internet -website https://udtv.store/

The Buyer, acting to purchase the Goods, accepts the terms of this Contract for the sale of goods (hereinafter referred to as the Contract) on the following terms.

1. Definition of terms
   1.1. Public offer (hereinafter referred to as the “Offer”) – a public offer of the Seller, addressed to an indefinite circle of persons, to agree to the sale of goods remotely with the Seller (hereinafter referred to as the “Agreement”) on the terms contained in this offer, including all Annexes.
   1.2. Order – the decision of the Customer to order the goods and their delivery, issued in the online store and/or a power of attorney for the purchase and delivery of goods.
2. General Provisions
   2.1. The information below is an official offer (offer) of the https://udtv.store/ online store to any individual (hereinafter referred to as the Buyer) to conclude a contract for the sale of goods. The specified Contract is public, that is, according to Article 633 of the Civil Code of Ukraine, its conditions are the same for all buyers.
   2.2. According to Article 642 of the Civil Code of Ukraine, the full and unconditional acceptance of the terms of this proposal (offer), confirming the conclusion of the Contract for the sale of goods on the conditions proposed below, is the fact of placing and confirming the order.
   2.3. Placing an Order The Buyer confirms his consent and unconditional acceptance of the terms of this proposal (offer).
   2.4. By concluding the Agreement (i.e., by accepting the terms of this offer by placing an Order), the Buyer confirms the following:
   a) the Buyer is fully acquainted with and agrees with the terms of this proposal (offer);
   The scope of the rights of the Customer as a subject of personal data in accordance with the Law of Ukraine “On the Protection of Personal Data” is known and understandable to him. b) he permits the collection, processing and transfer of personal data under the conditions defined below. The permission to process personal data is valid for the entire duration of the Agreement, as well as for an unlimited period after its validity. In addition, the conclusion of the Agreement, the Customer confirms that he is notified (without additional notice) of the rights established by the Law of Ukraine “On the Protection of Personal Data”, of the purposes of data collection, and that his data is transferred to the Seller to be able to fulfill the conditions of this Agreement, the possibility of making mutual settlements, as well as receiving invoices, acts and other documents. The Customer also agrees that the Seller has the right to provide access and transfer his data to third parties without additional notice to the Customer, without changing the purposes of personal processing data.
3. The price of the product
   3.1. The price for each item of the Goods indicates on the website of the online store https://udtv.store/.
   3.2. The Seller has the right to change the price of any item of the Goods unilaterally.
   3.3. In the event of a change in the price of an order, the Seller undertakes to inform the Buyer about the changes in the price of the Goods.
   3.4. The Buyer has the right to confirm or cancel the order to purchase the Goods if the Seller changes the price after placing the order.
   3.5. Change by the Seller of the price of the Goods paid by the Buyer is not allowed.
   3.6. The delivery cost of the goods is not included in the price.
   3.7. The Buyer’s obligations to pay for the Goods are considered fulfilled when the Seller receives the funds.
   3.8. Settlements between the Seller and the Buyer for the Goods are carried out in the ways indicated
   at https://udtv.store/.
4. Checkout
   4.1. The Buyer makes the order of the Goods through the website https://udtv.store/
   4.2. When ordering on the website of the online store, the Buyer undertakes to provide the following registration information:
   a) last name, first name of the Buyer or the person indicated by him (recipient);
   b) the city and number of the branch of “Nova Poshta” to which the delivery company;
   c) email address;
   d) contact number.
   4.3. The name, quantity, and price of the Goods chosen by the Buyer is in the Buyer’s basket on the online store’s website.
   4.4. If the Seller needs additional information, he has the right to request it from the Buyer. Suppose the Buyer fails to provide the necessary information. In that case, the Seller is not responsible for providing a quality service to the Buyer when purchasing goods in the online store.
   4.5. Acceptance by the Buyer of the terms of this offer is carried out by entering the relevant data into the registration form on the website of the online store of the Buyer.
   4.6. The Buyer is responsible for the accuracy of the information provided when placing the order.
   4.7. The remote sale and purchase agreement between the Seller and the Buyer is considered concluded from the moment of electronic registration order on the service of the website of the online store or the issuance by the Seller to the Buyer of a cash or sales receipt or other document confirming payment for the Goods.
5. Delivery and transfer of the Goods to the Buyer
   5.1. The methods, procedures and terms of delivery of goods are indicated on the website of the online store. The order and terms of delivery of the order, the Buyer agrees with the operator of the online store at the time of purchase.
   5.2. The right of ownership and the risk of accidental loss or damage to the goods pass to the Customer or his Representative from the moment of receipt of the goods by signing by the Parties of the sales receipt and/or order (and/or power of attorney for the purchase and delivery of goods) for delivery.
   5.3. Delivery of goods is carried out with the involvement of third parties (courier service).
   5.4. Upon receipt of the goods, the Customer must, in the presence of a representative of the courier service, check the compliance of the Goods with qualitative and quantitative characteristics (name goods, quantity, completeness).
   5.5. The Customer or the Representative of the Customer, at the time of acceptance of the goods, confirms with his signature on the sales receipt and/or order for the delivery of goods that he has no claims regarding the quantity of the goods, the appearance and completeness of the goods.
6. Purchase returns
   6.1. The Customer has the right to refuse non-excisable goods before its transfer.
   6.2. The Customer is not entitled to refuse goods of good quality, which have individually certain properties if the specified product can be used exclusively by the acquired Customer (including a personalized gift certificate for the service).
7. Responsibility of the Parties
   7.1. The Seller is not liable for damage caused to the Buyer due to improper use of the Goods purchased from the Seller.
   7.2. The Seller is not responsible for improper, untimely execution of Orders and its obligations when the Buyer provides false or false information.
   7.3. The Seller and the Buyer are responsible for fulfilling their obligations by the current legislation of Ukraine and the provisions of this Agreement.
   7.4. The Seller or the Buyer shall be released from liability for full or partial non-fulfillment of their obligations if the non-fulfillment is the result of force majeure circumstances, such as war or hostilities, earthquake, flood, fire, and other natural disasters that have arisen independently of the will of the Seller and/or the Buyer after the conclusion of this Agreement. The Party that can fulfill its obligations shall immediately notify the other Party thereof.
